These Terms and Conditions (“Terms”) govern your Virtual Office membership (“Membership”) with Salt Space Coworking Pty Ltd (“Salt Space”, “we”, “us”, “our”). By checking the acceptance box and submitting the sign-up form, you (“Client”, “you”, “your”) agree to be bound by these Terms. These Terms should be read together with our Privacy Policy, available at [insert URL].
1. Membership Inclusions
Your Virtual Office Membership entitles you to the following services:
- Use of the business address: Level 1, 888 Brunswick Street, New Farm, QLD 4005 (“the Address”).
- Mail collection and notification during normal business hours (Monday–Friday, 8:00 am–5:00 pm).
- Use of the Address for your business requirements, including registration with ASIC, the ABN register, the ATO, IP Australia, website and social media listings, packaging and manufacturer addresses, and general correspondence and business promotions.
- Inclusion of additional business names and entities on a single Membership, subject to the eligibility criteria and fees set out in clause 2.
- Email notification of mail and parcels within 24 hours of receipt.
- Scanning and emailing of mail contents, subject to a limit of 10 documents per month and the consent requirements set out in clause 5.
- Access to printing and scanning facilities (100 free pages per month).
- 50% discount off a 1 Day Pass for the Primary Contact.*
- 50% discount off meeting room bookings for the Primary Contact.*
- Optional backlink placement in our Business Directory.
2. Business Names and Entities on a Single Membership
2.1 Each Membership is limited to one (1) legal entity as the primary entity (“Primary Entity”). Certain additional names and entities may be included on the same Membership, subject to the eligibility criteria and fees set out in this clause 2.
2.2 Additional Business Names — registered under the same ABN/ACN as the Primary Entity — are eligible for inclusion on a single Membership. The first two (2) additional business names are included at no extra cost. Each further business name is charged at $5 per month.
2.3 A Sole Trader Name — where the sole trader shares the same legal name as the Beneficial Owner of the Primary Entity — may be included alongside a company name on the same Membership, subject to the Client providing evidence of this relationship on request.
2.4 Additional Company Names — registered under a different ABN/ACN to the Primary Entity, but sharing the same Beneficial Owner — may be included on a single Membership at a cost of $20 per month, per additional company.
2.5 Additional Company Names registered under a different ABN/ACN and with a different Beneficial Owner to the Primary Entity are not eligible for inclusion on a single Membership. Each such entity requires its own separate Virtual Office Membership, and its own independent ASIC registration and identity verification.
2.6 Each Membership is limited to one (1) Google Business Profile. Only one business name per Virtual Office service may be listed on that Google Business Profile, in accordance with Schedule 1.
2.7 Salt Space reserves the right to request supporting documentation (such as ASIC extracts or beneficial ownership declarations) to verify eligibility under this clause 2, in line with Salt Space’s obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth).
3. Collecting Mail
3.1 In-person collection of mail requires sighting of photographic identification of the Director (where the Client is a company) or the Primary Contact (such as an Australian driver’s licence, a valid passport, or a current student card showing the holder’s name and address). This is to ensure mail is released only to the correct person.
3.2 Where a person other than the Client will collect mail on the Client’s behalf, the Client must provide Salt Space with written notice of that person’s contact details in advance. The nominated collector must present photographic identification at the time of collection.
3.3 Mail left uncollected for more than one (1) month will be returned to sender, unless alternative arrangements have been agreed in writing.
4. Mail Notification
4.1 Salt Space will photograph the exterior of each unopened mail item and email that photograph to the Client within 24 hours of receipt, as a notification that mail has arrived.
4.2 This notification service is provided automatically to every Client as a standard part of the Membership and does not require separate consent.
4.3 Notification alone does not involve opening the item or accessing its contents. Opening and scanning of contents is governed by clause 5.
5. Consent to Open and Scan Mail Contents
5.1 Opening a mail item and scanning and emailing its contents (subject to the monthly limit in clause 1) requires the Client’s consent. Consent may be given in one of the following ways:
- Blanket consent — given at onboarding via the sign-up form, authorising Salt Space to open and scan all mail received on the Client’s behalf for the duration of the Membership, without further confirmation being required for each item; or
- Per-item consent — given by the Client replying to the notification email described in clause 4, confirming that the specific item referred to should be opened, scanned, and emailed.
5.2 Where a Client has not selected blanket consent, per-item consent applies by default. If the Client does not reply to a notification, Salt Space will not open or scan that item. The item will instead be held for collection in accordance with clause 3.
5.3 A Client may change their consent method, or withdraw consent entirely, at any time by providing written notice to Salt Space. Any change takes effect from the date it is received and does not apply retrospectively.
6. Retention and Deletion of Scanned Mail
6.1 Scanned copies of mail contents (including the digital image or PDF and the email transmitting it) are actively retained by Salt Space for a maximum of 30 days from the date the scan is sent to the Client, after which they are deleted from Salt Space’s active systems.
6.2 Deletion is carried out in accordance with Salt Space’s standard email retention and purge cycle. Final, unrecoverable deletion may take up to a further 30 days beyond the initial 30-day retention period referred to in clause 6.1.
6.3 Salt Space does not retain scanned copies beyond the periods described in this clause 6. Where a Client requests a copy of a scan after it has been deleted, the Client will need to contact the original sender directly. If the physical item remains on-site and uncollected, Salt Space may take a fresh scan in its place, subject to clause 5.
6.4 Salt Space retains a record of mail handling activity for each item (including the date received, sender details visible on the envelope, and the date processed) for record-keeping and dispute-resolution purposes. This record does not include the scanned image or the contents of any item.
7. Reception and Call Handling
7.1 Salt Space does not provide walk-in reception services, and does not greet, receive, or otherwise interact with the Client’s customers, couriers, or visitors.
7.2 Salt Space does not provide call-answering, telephone support, appointment handling, customer service support, administrative support, or message-taking services of any kind. All business calls must be directed to the Client’s own phone number or phone system.
7.3 Any visitors attending the Address must be invited and hosted directly by the Client. Unannounced visitors will not be assisted or permitted to wait at reception.
8. Invoicing and Payment
8.1 Membership fees are payable in advance, according to the following schedule:
- $480 per year (annual membership).
- $240 per six (6) months.
- $40 per month.
8.2 This Membership automatically renews at the end of each paid period. An invoice will be issued automatically for the following period.
8.3 Fees for additional business names and entities under clause 2 are charged in addition to the Membership fee, and billed monthly unless otherwise agreed.
9. Mail Forwarding
9.1 Mail is collected from Salt Space’s reception. Mail forwarding is not included in the Membership, but may be arranged on a case-by-case basis, subject to a $10 surcharge per item forwarded, in addition to postage costs.
9.2 Salt Space is not liable for courier delays, loss, or damage occurring after an item leaves Salt Space’s premises.
10. Large Parcels and Packages
10.1 Large parcels (up to 50cm × 50cm × 50cm) must be collected within 24 hours of delivery, as Salt Space does not have facilities to store large items for extended periods.
10.2 A storage fee of $15 per day applies to large items not collected within 24 hours.
10.3 Deliveries exceeding 50cm in any dimension must be pre-approved by Salt Space. Salt Space reserves the right to refuse delivery of unapproved large or freight items.
10.4 Items exceeding 50cm in any dimension that are not collected or redirected within two (2) business days may be disposed of or returned to sender at the Client’s expense.
11. Cancellation and Termination
11.1 Either party may elect not to renew the Membership by providing at least two (2) weeks’ notice prior to the end of the current period. No cancellation fees apply.
11.2 Salt Space reserves the right to terminate this Membership at any time, without notice, if these Terms are not complied with.
11.3 On termination or non-renewal, the Client must immediately remove the Address from all publications and notify ASIC of the change of registered address.
11.4 On termination or non-renewal, mail is handled according to its status at that time:
- Uncollected physical mail (items not yet collected by the Client) will be returned to sender.
- Opened and scanned mail (items already processed under clause 5, whose contents have been emailed to the Client) will be securely destroyed, in line with the retention and deletion provisions in clause 6.
- Any mail received after the Membership end date will be returned to sender.
11.5 Where Salt Space reasonably considers the Client’s use of the service exceeds the level of use reasonably expected of a Virtual Office Client, Salt Space reserves the right to suspend or terminate the Membership without notice. Salt Space will contact the Client to discuss a reasonable usage charge to allow the service to continue.
12. Mail Volume, Marketing, and Logistics
12.1 The Address must not be used where more than 40 items of mail are likely to be delivered in any calendar month.
12.2 Where the Client anticipates a material increase in mail volume (including as a result of a marketing or promotional campaign), the Client must notify Salt Space in writing as soon as reasonably practicable.
12.3 Logistics, delivery coordination, and related services are not included in the Membership and require a separate quote.
13. Prohibited Mail and Conduct
13.1 Salt Space does not permit delivery of unlawful, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, unethical, or otherwise objectionable material to the Address. Where Salt Space has reason to believe an item is or may be of this nature, it reserves the right to dispose of that item as it sees fit.
13.2 Salt Space reserves the right to refuse service to any individual who behaves violently, threateningly, or abusively, who fails to pay for services, or who otherwise misuses the service.
13.3 Use of the service is subject to all applicable local, national, and international laws and regulations.
14. Holiday Closure
14.1 Salt Space will be closed for a period each year during the Christmas/New Year period. Mail and parcel services may be unavailable during this time, and Clients are responsible for collecting all pending items prior to closure.
15. Mail Handling Liability
15.1 Salt Space acts only as receiver of mail and takes no responsibility for the material received or the legality of its content.
15.2 Salt Space takes no responsibility for loss, damage, or other circumstances that may occur to received items.
15.3 Only the Primary Contact may collect mail or packages, unless the Primary Contact has given prior written authorisation for another person to do so.
15.4 Salt Space reserves the right to withhold processing of mail where it considers these Terms have been breached, including failure to provide required documentation within the specified timeframe.
15.5 Salt Space does not provide insurance for stored or forwarded items. Clients are responsible for insuring high-value goods where required.
15.6 Salt Space is not responsible for delays caused by third-party couriers, missed deliveries, or failed forwarding attempts once an item leaves Salt Space’s premises.
16. Services Not Included
The following are not included in the Membership and may incur additional charges or require a separate agreement:
- Parcel and mail forwarding (charged per item, plus postage).
- Handling of large deliveries or equipment.
- Storage or receipt of items exceeding 50cm × 50cm × 50cm without prior agreement.
- Courier coordination.
- Repackaging or labelling of parcels.
- Receipt of pallets, freight, or bulk shipments.
- Returns processing or outgoing parcel services.
- Receipt of more than 40 items per calendar month.
17. Registered Office and Legal Document Service
17.1 Where the Client uses the Address as its “Registered Office” with ASIC, the Client must obtain Salt Space’s written Occupier’s Consent.
17.2 The Client acknowledges that Salt Space is a point of delivery only, and is not responsible for the Client’s failure to respond to legal notices, court documents, or government correspondence delivered to the Address.
17.3 Salt Space reserves the right to suspend or terminate this Membership immediately where identity verification cannot be completed, where the Client fails to provide updated information on request, or where required to do so to comply with Salt Space’s obligations under the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (Cth). No refund is provided where termination occurs for compliance reasons.
18. Identity and Beneficial Ownership Verification
18.1 The Client confirms that the business name(s) and entities provided under clause 2 are legally owned or controlled as described, and that the information given is true and accurate.
18.2 The Client acknowledges that Salt Space is required by law to verify the identity of directors and beneficial owners, and that the Membership will not commence until this verification is complete.
19. Acceptance
By checking the acceptance box and submitting the sign-up form, the Client confirms that they have read, understood, and agree to be bound by these Terms and Conditions, including the business name eligibility provisions in clause 2 and the mail scanning, retention, and deletion provisions in clauses 4 to 6.
Schedule 1 — Google Business Address Support Terms (Where Applicable)
S1.1
S1.1.1 Salt Space provides Google Business Profile address support only, comprising guidance, address permission, and verification preparation.
S1.1.2 Salt Space does not control, influence, or guarantee Google’s approval, reinstatement, ranking, or continued visibility of any Business Profile. Approval and ongoing status are determined solely by Google.
S1.2
S1.2.1 Salt Space provides a Google Address Verification Guide to support the Client’s verification attempt.
- Payment does not guarantee verification.
- Google may reject, suspend, or later remove a Business Profile for reasons outside Salt Space’s control.
- Changes to Google’s policies may affect eligibility at any time.
S1.2.2 Salt Space is not responsible for business disruption, lost leads, or ranking changes resulting from Google’s decisions.
S1.3
S1.3.1 This service is available only to legitimate, operating businesses based at Salt Space Coworking. The Client confirms that:
- the business is active and lawful;
- the Business Profile reflects the true legal business name; and
- the business is not a lead-generation placeholder, duplicate listing, or virtual-only entity where prohibited by Google policy.
S1.3.2 Salt Space may refuse or withdraw support where eligibility or integrity standards are not met.
S1.4
- One (1) business name may be associated with a Google Business Profile per service, in accordance with clause 2.6.
- The Address must not be used for additional business names, duplicates, or related entities on the Google Business Profile.
- Address permission is limited strictly to the service period. Unauthorised use of the Address is prohibited.
S1.5
S1.5.1 Salt Space actively manages the integrity of the Address. Where a business is no longer authorised to use the Address, is in arrears or non-payment, is no longer operating, or is using the Address without permission, Salt Space will request removal via Google’s official Business Redressal process, two (2) weeks after the end of service, to allow time for address changes.
S1.6
S1.6.1 Salt Space is not liable for Google suspensions or removals, loss of visibility, enquiries, or revenue, or third-party platform decisions or enforcement actions. The Client accepts all risk associated with Google Business Profile use.
